Agreement
These Terms of Service ("Terms") are a legal agreement between you and OakSERP ("OakSERP," "we," "us," or "our") and govern your access to and use of oakserp.com, any content or materials we publish, and any services we provide. By using the site or engaging us for services, you agree to these Terms. If you do not agree, please do not use the site or our services.
Who We Are
OakSERP is a studio offering web design, Google Business Profile setup and optimization, and local search engine optimization. We work with small and mid-sized businesses to help them earn visibility in local search and build sites that perform.
Use of the Website
You may use oakserp.com for lawful purposes only. You agree not to use the site in any way that violates applicable law, infringes the rights of others, interferes with the operation of the site, attempts to access non-public areas, scrapes content without permission, or introduces malware or harmful code. We may suspend or restrict access to the site at any time without notice when we believe it is necessary to protect the site, our clients, or other visitors.
Engagements and Proposals
Inquiries submitted through the site, by email, or by phone are not binding engagements. A project begins only when both parties have signed a written proposal, statement of work, or service agreement that describes the scope, timeline, deliverables, and fees. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls for that engagement.
Fees and Payment
Fees, payment schedules, and refund terms are set out in the signed agreement for each engagement. Unless that agreement says otherwise, invoices are due on receipt, late balances may accrue interest at the lesser of 1.5% per month or the maximum allowed by law, and amounts already paid for completed work are non-refundable. We may pause work on overdue accounts.
Client Responsibilities
To do good work we rely on timely cooperation from our clients. You agree to provide accurate business information, brand assets, content, and access to the platforms we are asked to manage; to review drafts and respond to questions within the timelines outlined in the agreement; and to make sure you have the right to use any materials you give us. Delays caused by missing approvals or assets may shift project timelines.
Intellectual Property
All content on oakserp.com, including text, graphics, logos, code, and design, is owned by OakSERP or its licensors and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from this content without written permission. Final deliverables created for a client become the client's property upon full payment, subject to any third-party licenses (for example, stock imagery, fonts, or software) which remain governed by their respective licenses. OakSERP retains the right to display non-confidential work in our portfolio and case studies unless the agreement says otherwise.
Third-Party Platforms
Our services rely on third-party platforms including Google Search, Google Business Profile, Google Analytics, Google Ads, Bing Places, web hosts, domain registrars, content management systems, and similar tools. These platforms change their features, policies, and algorithms at their own discretion, and their performance is outside our control. We do our best to follow current guidelines, but we cannot guarantee specific rankings, traffic levels, conversion rates, or revenue outcomes.
No Guarantee of Results
Search engine optimization, local SEO, and digital marketing involve many factors that no provider controls. We bring experience and care to the work and follow practices we believe are sound, but we make no warranty that any particular keyword, listing, or page will reach a specific position, that traffic will increase by a specific amount, or that any business outcome will be achieved within a specific timeframe. Anyone who promises guaranteed rankings should be approached with caution.
Acceptable Conduct
We reserve the right to decline or terminate work that would require us to violate the law, deceive search engines or consumers, infringe on the intellectual property of others, or otherwise damage our reputation or that of our other clients. Engagements involving prohibited industries or content may be declined at our discretion.
Disclaimers
The website and our services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. To the fullest extent permitted by law, OakSERP disclaims all such warranties.
Limitation of Liability
To the maximum extent permitted by law, OakSERP, its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the site or our services. Our total aggregate liability for any claim arising out of or related to these Terms or a specific engagement will not exceed the amount you paid OakSERP for the services giving rise to the claim during the three months preceding the event that caused the claim.
Indemnification
You agree to indemnify and hold harmless OakSERP and its representatives from any claim, loss, liability, damage, or expense, including reasonable attorneys' fees, arising out of your breach of these Terms, your misuse of the site or services, content or materials you provide to us, or your violation of any law or third-party right.
Termination
We may suspend or terminate your access to the site at any time and for any reason. Termination of a paid engagement is governed by the signed agreement for that engagement. Sections of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will continue to apply.
Governing Law
These Terms are governed by the laws of the State of [GOVERNING STATE], without regard to its conflict of laws rules. The exclusive venue for any dispute that is not subject to arbitration or small claims court will be the state or federal courts located in [COUNTY, STATE], and you consent to the personal jurisdiction of those courts.
Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of the page. Material changes will be announced on the site or by email when appropriate. Continued use of oakserp.com or our services after a change means you accept the revised Terms.
