Terms of Service
Last updated: May 14, 2026. These terms describe the services OakSERP LLC provides, how billing and cancellation work, who owns what, and what OakSERP LLC can and can't promise. Plain language. No buried surprises.
1. Who OakSERP LLC Is
OakSERP LLC ("OakSERP," "we," "us," or "our") is a local search visibility business based in Muncie, Indiana. We provide website, Google Business Profile optimization, citation management, and local SEO services to local businesses in Muncie and surrounding areas.
2. Services Provided
OakSERP provides one bundled service that includes the following:
- Creation and setup of a mobile-first website with individual pages for each core service the client offers
- Website copywriting based on information provided by the client
- Website hosting for the duration of the engagement
- Ongoing website maintenance, including security updates, performance monitoring, and content changes requested by the client
- Google Business Profile setup, optimization, and ongoing management, including service descriptions, service area configuration, Q&A, photos, and Google Posts
- Local SEO: on-page structure (page titles, meta descriptions, headings, URLs, internal links), service area content, and citation setup and cleanup
Services not included: paid advertising management, social media management, stock photography, domain registration (the client is responsible for domain registration costs, typically approximately $15 per year), or any services not listed above.
3. Pricing and Payment
Current pricing for OakSERP services is based on the plan selected (Local Foundation or Local Authority). Specific pricing is available on the Pricing page and will be confirmed in writing at the start of each engagement.
The setup fee is due at the start of the engagement and covers initial website build, Google Business Profile setup and optimization, and initial local SEO work. The monthly fee is billed beginning after the website launches and covers hosting, maintenance, ongoing Google Business Profile management, and ongoing local SEO work.
Payment terms and methods will be agreed upon in writing at the start of each engagement. OakSERP reserves the right to update pricing with 30 days written notice to current clients.
4. Cancellation
Either party may terminate the engagement by providing 30 days written notice. Written notice may be provided by email to hello@oakserp.com.
Upon cancellation, the client's monthly service will continue through the end of the final 30-day notice period. No cancellation fee or penalty applies. The setup fee is non-refundable once work has commenced.
5. Ownership of Work
The client owns their domain name, website content, and Google Business Profile. The domain must be registered in the client's name; OakSERP will assist with registration if needed, but the domain belongs to the client.
Upon cancellation, the client retains full ownership of their website files and content. OakSERP will provide the website files to the client upon request within a reasonable time following cancellation.
The client's Google Business Profile remains in their Google account at all times. OakSERP works as a profile manager and does not take ownership of the profile. The client may remove OakSERP's manager access at any time.
OakSERP retains the right to display completed work in its portfolio and to reference the client relationship in marketing materials, unless the client requests otherwise in writing.
6. Client Responsibilities
The client agrees to provide accurate business information, including business name, phone number, address or service area, services offered, hours of operation, and any other information necessary to create the website and profiles accurately. OakSERP is not responsible for inaccuracies resulting from incorrect information provided by the client.
The client agrees to review and approve website content before the site goes live. Approval constitutes the client's confirmation that the content is accurate and acceptable.
The client is responsible for ensuring their business complies with all applicable laws and regulations. OakSERP does not provide legal or compliance advice.
7. No Rankings Guarantee
OakSERP does not guarantee any specific search engine ranking positions, placement in Google's top map results, inclusion in AI-powered search results, or any specific volume of calls, leads, or customers. Local search rankings depend on factors outside OakSERP's control, including Google's algorithm, the client's geographic location relative to searchers, competitor activity, the client's review profile, and the length of time the website and Google Business Profile have been active.
OakSERP will make reasonable professional efforts to improve the client's local search visibility using established, legitimate practices. OakSERP does not use tactics that violate Google's terms of service or that could result in penalties to the client's website or Google Business Profile.
8. Limitation of Liability
OakSERP's total liability for any claim arising from or related to these services is limited to the total amount paid by the client in the three months preceding the claim. OakSERP is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost revenue, lost customers, or business interruption, even if advised of the possibility of such damages.
OakSERP is not responsible for changes made by Google to its search algorithms, map products, or profile policies that affect the client's search visibility.
9. Third-Party Services
OakSERP uses third-party services including web hosting providers and form processing tools in the course of delivering services. These third-party providers have their own terms of service and privacy policies. OakSERP is not responsible for the actions, policies, or service interruptions of third-party providers.
Google Business Profile is a service provided by Google. OakSERP has no control over changes to this platform and is not responsible for any changes Google makes to its services, policies, or features.
10. Changes to These Terms
OakSERP may update these terms from time to time. Current clients will be notified of material changes by email at least 30 days before they take effect. If you do not agree with the updated terms, you may cancel your subscription per Section 4 before the changes take effect. Continuing your subscription after the effective date indicates your agreement to the updated terms.
11. Governing Law
These terms are governed by the laws of the State of Indiana. Any disputes arising from these terms or the services described will be resolved in the courts of Delaware County, Indiana.
